- Either a liquidation or, if all members agree, a shortened dissolution without liquidation. Liquidation: the members decide the dissolution in a notarial instrument (three-quarters of the votes cast), the dissolution is filed with the court register, the management members act as liquidators unless others are appointed, creditors are called, and after the liquidators' final reports the liquidators apply to the court for deletion; the company ends on deletion. Shortened procedure (Companies Act art. 472.a-472.d): all members decide in a notarial instrument, declare the company has no outstanding debts, and the court deletes it after a 30-day objection period following publication.
